These terms apply to every business that subscribes to TabSpree and to everyone who uses the TabSpree portal. Please read them before you start a trial or a subscription.
About these terms
TabSpree is a product of UPVAN Enterprise Pvt. Ltd, 201, Pujer Complex, Subhanpura, Vadodara - 390023 (“TabSpree”, “we”, “us”), which runs the TabSpree invoice portal at tabspree.com and its subdomains (the “Service”). By starting a trial, buying a subscription or using the Service, the business you represent (“you”) agrees to these terms. If you accept them for a business, you confirm that you are at least 18 years old and have the authority to bind it.
These terms work together with our Privacy Policy and our Refund & Cancellation Policy.
Words we use
- Authorised Users — the people you let into your admin area, such as your staff.
- End Customers — your customers, who sign in to your invoice page to see the invoices you issued to them.
- Business Data — the invoices, line items, PDF files, customer details and other content you or your software put into the Service.
- Plan — the subscription plan you choose, with its term length and limits.
- Term — the period a trial or a paid subscription lasts.
The Service
TabSpree gives your business its own invoice page. Your End Customers sign in with their mobile number and a one-time code, then view and download the invoices you issued to them. Your team manages invoices, customers, reports, analytics, users and settings in an admin area, and your software can send invoices through our API.
We keep improving the Service and may add, change or remove features. We will not remove a core feature you rely on during a paid Term without telling you first.
TabSpree stores and presents your invoices; it does not prepare them, check their tax treatment or give accounting, tax or legal advice. You are responsible for the accuracy and legality of every invoice you issue, and for keeping the business records the law requires of you.
Accounts and sign-in
- We create your company’s first admin account when we set you up. That person must choose their own password at first sign-in.
- Keep passwords and one-time codes secret. You are responsible for what is done through your accounts and for the rights you give your Authorised Users.
- We recommend two-step sign-in for everyone with access to invoices.
- Tell us at once at info@tabspree.com if you suspect someone has gained access to your account.
- We may lock or suspend an account that shows signs of misuse, to protect you and your customers.
Your data and your customers
Your Business Data belongs to you. You give us permission to store, process, copy and display it only as needed to run the Service for you, to keep it secure and backed up, and to meet our legal obligations.
You confirm that you have the right to give us your End Customers’ details and invoices and to let them see their invoices through the Service, and that you have told them what they need to know under the law, including the Digital Personal Data Protection Act, 2023. For your End Customers’ data, you decide why and how it is processed, and we process it on your behalf, as described in our Privacy Policy. If an End Customer asks about their data, please deal with the request; we will help where we can.
WhatsApp, payments and other services
- One-time codes are sent from your own WhatsApp Business account, through Meta’s WhatsApp Business Platform or another provider you choose. You must follow that provider’s terms and policies. Any charges they make are yours, unless we agree otherwise in writing.
- Online payments are handled by our payment partners, such as Razorpay and CCAvenue, under their own terms.
- We are not responsible for an outage, delay or decision of a third party, such as a message that WhatsApp does not deliver.
The API
- API credentials belong to one company. Keep the secret confidential: it is shown only once, and you can rotate it or switch a client off at any time.
- Each API client has request limits. We may slow down or suspend a client whose traffic harms the Service.
- Your Plan must include API access to use it.
Plans, trials and fees
- Each Plan has a Term (for example quarterly, half-yearly or yearly) and limits on storage, messages per Term and, where stated, users and API clients.
- Prices are shown without GST. GST at the applicable rate is added when you pay.
- Fees are paid in advance for each Term, online through our payment partners or by bank transfer, UPI or cheque where we accept them. We issue a receipt for every payment, and a GST tax invoice separately.
- Subscriptions do not renew automatically. To continue, renew before your Term ends. A renewal starts when your current Term ends, or straight away if you choose that, in which case the rest of the current Term ends (see the Refund & Cancellation Policy).
- We may change prices for future Terms. A Term you have already paid for keeps its price and limits.
- A free trial lasts for the period shown when it starts. We may change or withdraw trial offers.
Limits, grace period and expiry
- If your storage or your messages for the Term run out, adding invoices and PDFs pauses until you upgrade or renew. Your End Customers can still sign in and download.
- When a Term ends without renewal, you get 7 days’ grace with full access.
- After the grace period your account becomes read-only: no new invoices can be added, but your team can still see everything, and your End Customers can still sign in and download their invoices.
- You can renew at any time to restore full access.
Acceptable use
You must not, and must not let anyone else:
- upload invoices or data you have no right to use, or content that is unlawful, false or misleading;
- use the Service to send unsolicited messages, or to request codes for numbers that are not your customers’;
- try to get around the Service’s security, limits or rights, or access another company’s data;
- copy, decompile or reverse engineer the Service, or overload it with automated traffic;
- resell or sub-license the Service without our written agreement, or pretend to be someone else.
Availability and support
We work to keep the Service available at all times, but we cannot promise it will never be interrupted. We may need short maintenance windows; during maintenance your End Customers may see a “we’ll be right back” notice. Support is available on WhatsApp at +91 81606 03939 and by email at info@tabspree.com, and we respond as quickly as we reasonably can.
Security and backups
We protect the Service with measures appropriate to the data it holds, described in our Privacy Policy, and back up the database every night. No system is completely secure, and backups are a safeguard, not a replacement for the records you must keep yourself.
Stopping, suspension and termination
- You can stop at any time by not renewing, or by telling us. See the Refund & Cancellation Policy.
- We may suspend access, in whole or in part, if fees are unpaid, if you break these terms, if your use puts the Service or others at risk, or if the law requires it. Where we reasonably can, we will tell you first and give you a chance to put things right.
- Either of us may end the agreement if the other seriously breaks these terms and does not fix it within 15 days of being told.
Your data when you leave
- Before or after your subscription ends, you can ask for an encrypted export of your invoices, line items and PDF files. The password is shown once, and the export file is kept for 30 days.
- We permanently delete your invoices, line items and PDF files at your request, or not earlier than 90 days after your subscription ends or your account is deactivated, after we have reminded you to take an export.
- We keep account, payment and audit records, and logs, for as long as we need them for legal, tax, accounting and security reasons.
- Deleted data disappears from our backups as they are replaced, within 30 days.
Intellectual property
The Service, its software, design and the TabSpree name and logo belong to TabSpree. You may use the Service only as these terms allow. You let us display your name and logo on your own pages within the Service. If you send us suggestions, we may use them freely.
Confidentiality
Each of us will keep the other’s non-public business information confidential and use it only for this agreement, except where the law requires disclosure.
Disclaimers
The Service is provided “as is” and “as available”. To the extent the law allows, we make no promise that it will be uninterrupted or error-free, or that it is fit for a purpose we have not described. We are not responsible for the content of your invoices.
Limitation of liability
To the extent the law allows, neither of us is liable for indirect or consequential losses, such as lost profits, revenue or goodwill. Our total liability arising from the Service or these terms is limited to the fees you paid us in the 12 months before the event that gave rise to the claim. Nothing in these terms limits liability that cannot be limited by law.
Indemnity
You will compensate us for losses, claims and reasonable costs that arise because of your Business Data, your use of the Service in breach of these terms, or your breach of the law, including data protection law.
Changes to these terms
We may update these terms. We will post the new version on this page with its effective date and, for significant changes, tell account holders by email or in the portal before they take effect. If you keep using the Service after that, the new terms apply.
Governing law and disputes
These terms are governed by the laws of India. We will first try to resolve any dispute through good-faith discussion. If that fails, the courts with jurisdiction over the registered office of UPVAN Enterprise Pvt. Ltd have exclusive jurisdiction.
Contact and grievances
